Terms of sale for paid sessions
1 November 2026
1. What these terms cover
These terms apply to the purchase of paid one-to-one sessions (consultations, mentoring, coaching sessions and similar) that a professional offers and charges for through VideoSuite, including when the session is booked from an academy or a site run on LearnSuite, MentorSuite or AlmaSuite. They are accepted by the person who buys the session, on paying for it, and by the person who sells it, on connecting their payout account and publishing a paid offer.
The version that applies to each purchase is the one in force at the time of payment. If the terms change, the new version applies only to later purchases.
2. Who sells, and the role of Codelabs Studio
The seller of the session is the professional who offers it (the "Seller"), whose name appears on the booking page. The contract for the provision of the session is entered into solely between the buyer and the Seller: the Seller sets the price, the length, the content and the cancellation policy, delivers the session and is responsible for it, for its quality, for their professional qualifications and for any tax and consumer-information obligations that apply to them.
CODELABS STUDIO, S.L. (tax ID B88708797, registered office at PASAJE Federico García Lorca, 6, 3º E, 29130 Alhaurín de la Torre, Málaga, Spain, entered in the Commercial Register of Málaga, sheet MA-198508; "Codelabs Studio") owns VideoSuite, LearnSuite, MentorSuite and AlmaSuite and acts only as a technology provider and payment intermediary: it supplies the booking page, the calendar, the video room and the handling of the payment through Stripe Connect. Codelabs Studio is not the seller of the session, does not provide the professional service and does not receive the price: the charge is made directly to the Seller's Stripe account, and Codelabs Studio receives from the Seller only the platform fee described in section 8.
3. Payment
Payment is made by card on Stripe's secure payment page (Stripe Payments Europe, Ltd.). Codelabs Studio does not see or store your card details. The price shown before you pay, in the currency indicated (euros, US dollars, pounds sterling, Swiss francs or Mexican pesos), is the total amount charged: VideoSuite adds no taxes, handling fees or surcharges.
While you complete the payment, the slot you chose is held for about 40 minutes. If the payment goes through but the slot is no longer available, or the meeting cannot be created because of a technical fault, you are refunded in full automatically.
Once payment is confirmed you receive by email the invitation with the link to the room and the link to your personal booking page, from which you can change the time (up to three times, depending on the Seller's free slots) or cancel as long as the session has not started. Stripe may also send you a payment receipt; the invoice for the session, where one is due, is issued by the Seller.
Extending the session. Some offers allow the session to be extended from the room, and this is stated before you pay. If you book one of them, by paying you authorise the seller to use the card you pay with to charge the extensions of that session that you start yourself. You start each extension by pressing the button in the room, after seeing the minutes added and their price. Without that press no charge is made, and neither the seller nor Codelabs Studio can start it for you. Each extension is a separate charge for the amount shown, and your bank may ask you to confirm it.
Stripe keeps the card on the seller's account for this purpose only, and it is removed when the session ends or is cancelled; the authorisation ends at that moment. The seller may not use it for any other charge. If the meeting ends before the charge for an extension is confirmed, it is refunded in full automatically, and if it cannot be provided for a reason attributable to the seller you are entitled to a full refund of it. By pressing the button you ask for the extension to be provided immediately and acknowledge that, once it has been fully provided, you lose the right of withdrawal over it; if you withdraw before that, you pay only for the part already provided (section 6).
4. Taxes
VAT or any indirect tax on the session is a matter for the Seller, who must charge it, declare it and issue the invoice. Where the Seller states when creating the offer that the price includes VAT, the price shown includes it at the rate indicated. Prices aimed at consumers are always shown as the final price, taxes included; if you buy as a business or professional and need a full invoice or different tax treatment (for example, the reverse charge), ask the Seller.
5. Cancellations and refunds
If you cancel: you can do so from your booking page until the session starts. We refund the full amount if you cancel with at least the notice, in hours, that the Seller set in the offer (24 hours unless the payment page states another figure); if you cancel with less notice there is no refund, except as provided in section 6 on the right of withdrawal, which prevails.
If the Seller cancels, or if the session cannot take place for a reason attributable to the Seller, you are always entitled to a full refund. When the Seller cancels from VideoSuite, the refund is processed automatically; if it does not arrive, ask the Seller for the refund or write to hola@videosuite.pro and we will pass your claim on.
If you do not attend a session that you have not cancelled, there is no refund, unless the law provides otherwise.
A refund is always for the full amount you paid and goes back to the same card. It is ordered immediately through Stripe and usually appears in your account within 5 to 10 working days, depending on your bank. Stripe does not return to the Seller the fee it charged for processing the payment; the Codelabs Studio platform fee is returned to the Seller in the same proportion as the refund.
6. Right of withdrawal (consumers)
If you buy as a consumer, you have the right to withdraw from the contract within 14 calendar days of purchase, without giving any reason, under articles 102 et seq. of the consolidated text of the General Act for the Protection of Consumers and Users (TRLGDCU, the Spanish consumer protection act). If you withdraw before the session starts, we refund the full amount, even if fewer hours remain than the cancellation policy of the offer requires.
By paying, you expressly request that the session be provided on the date you chose even if that date falls within the withdrawal period, and you acknowledge that once the session has been fully provided you lose the right of withdrawal (article 103.a TRLGDCU). If you withdraw after the session has begun to be provided at your request, you will be charged only the proportion corresponding to what has already been provided (article 108.3).
To withdraw, it is enough to cancel the session from your booking page, which processes the refund at once. You may also tell the Seller or hola@videosuite.pro unambiguously (stating the session, the date of purchase, your name and the email you paid with), for example with this text: "I hereby notify you that I withdraw from my contract for the provision of the session [title] booked for [date], bought on [date of purchase]. Name, email and date". The refund will be made within 14 calendar days of your notice at most, by the same means of payment.
The right of withdrawal does not apply if you buy as a business or professional.
7. Recording of the session
When you join the session you choose whether it is recorded, with the consequence explained on the same screen: without a recording there is no transcript, analysis or summary. If you choose not to record, nothing is recorded, and VideoSuite prevents it technically rather than merely hiding it. The Seller can see what you chose. The only exception, which is stated on that same screen: if during the session a serious risk to your life or physical integrity, or to another person's, becomes apparent, the conversation is kept for safety reasons (articles 6.1.d and 9.2.c of the GDPR), with restricted and logged access, and is handed to the authorities only if they request it.
8. For sellers: payout account and platform fee
To sell sessions you must connect a Stripe account (Stripe Connect) and complete its onboarding. By doing so, the Seller accepts the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account), which includes the Stripe Services Agreement, and Stripe verifies their identity and tax details. Payments are made directly to that account, Stripe deducts its fee for processing the payment, and pays the rest out to the Seller according to its payout schedule.
Codelabs Studio charges the Seller a platform fee on each paid session, calculated on what is actually received: the price paid, less the VAT included and less Stripe's fee. If the session is sold directly from VideoSuite, the fee depends on the Seller's VideoSuite plan: 10 % on the Free plan, 5 % on Professional, 2 % on Team and the amount agreed in writing on Enterprise. If the session is sold from an academy or a site run on LearnSuite, MentorSuite or AlmaSuite, the fee of that platform's plan applies and VideoSuite adds none of its own: 0 % with the paid sessions add-on or with the LearnSuite Professional, Institution and Enterprise plans and the MentorSuite and AlmaSuite plans; 3 % with the Starter plan; and 20 % under the revenue-share model (no active paid plan). That fee is decided by the server using the plan the academy has at the time of payment, and is recorded on each payment together with its origin.
The fee is withheld at the time of payment as a Stripe application fee: first a maximum calculated on the amount before VAT and, as soon as Stripe reports its own fee, the difference is returned to the Seller. If the session is refunded, the fee is returned in the same proportion. The detail of each payment and its fee is on the VideoSuite Payments screen and in the Seller's Stripe dashboard.
The Seller undertakes to describe the session truthfully, to deliver it on the date booked, to comply with the tax, professional and consumer rules that apply to them, not to sell activities prohibited by law or by Stripe's terms, and to deal with the buyer's complaints. Codelabs Studio may remove offers or suspend sales that breach these terms, the law or Stripe's rules.
9. Liability of Codelabs Studio
Codelabs Studio is responsible for the proper working of the platform and for handling the payment and the refunds that these terms provide for. It is not responsible for the content, quality or outcome of the session, which are the Seller's responsibility, nor for interruptions caused by third parties or by force majeure. Nothing above limits the rights that the law grants to consumers.
10. Data protection
To book and pay, your name, email, language, time zone and booking details are processed. For the session itself, the Seller is the controller and Codelabs Studio acts as processor; Stripe processes payment data as an independent controller. Full information, and how to exercise your rights, is in the Privacy policy.
11. Complaints, governing law and jurisdiction
For any complaint about the session, contact the Seller first. If it is not resolved, or if the complaint concerns the platform or the payment, write to hola@videosuite.pro and we will reply as soon as possible and in any case within one month. As a consumer you can also turn to the consumer authorities of your autonomous community.
These terms are governed by Spanish law. If you buy or sell as a business or professional, the parties submit, expressly waiving any other jurisdiction, to the Courts of Málaga (Spain) as regards Codelabs Studio, S.L. If you are a consumer, the courts determined by the mandatory consumer protection rules (generally, those of your place of residence) have jurisdiction.
